STRETTO DI MESSINA SHAREHOLDERS UNANIMOUSLY APPROVE CAPITAL INCREASE
Rome, 30 November 2024. An extraordinary general meeting of Stretto di Messina SpA’s shareholders met today, chaired by Giuseppe Recchi.
Pursuant to Legislative Decree 35 of 31 March 2023, the meeting unanimously approved the proposal made on 31 October by the Company’s Board of Directors, and put forward by CEO Pietro Ciucci, to proceed with a capital increase for Stretto di Messina reserved for the Ministry of Economy and Finance, amounting to €370 million.
The capital increase will be subscribed for by the Ministry of Economy and Finance by 18 December 2023.
After this transaction, Stretto di Messina’s share capital will amount to €672.5 million, resulting in the following changes to the Company’s shareholder structure: Ministry of Economy and Finance 55.16%; ANAS 36.70%; RFI 5.83%; and Sicily and Calabria regional authorities 1.16% each.
The meeting also approved amendments to the Articles of Association arising from the capital increase.

With this transaction, the Ministry of Economy and Finance takes on the role of majority shareholder, with the vital participation of the Sicily and Calabria regional authorities, as well as ANAS and RFI, in the shareholder structure”.
