The 2023 Budget Law ordered the reversal of the Company’s liquidation with effect from 1 April 2023. As of that date, under article 2, paragraph 1 of Legislative Decree 35 of 31 March 2023 (Legislative Decree 35\/2023), the concession previously entrusted to the Company was reactivated, with management of the infrastructure set to last for a term of thirty years from the date the bridge enters service.<\/p>

With regard to the ensuing relations with the Italian government, under the above article 2 of Legislative Decree 35\/2023 (paragraphs 7 and 8) “the Minister of Infrastructure and Transport\u00a0 (\u201cMIT\u201d) and the Minister of the Economy and Finance (\u201cMEF\u201d) are authorised to enter into a planning agreement\u00a0 with the concession holder and the shareholders (see below) to define the respective administrative and financial commitments relating to the restart of the concession holder\u2019s activities and completion of the project’s design and construction”. Moreover, to this end, “the Ministry of Infrastructure and Transport is authorised to reach agreement with the concession holder on one or more addenda to the concession arrangement” entered into in 2003.<\/p>

The planning agreement was signed by the MEF, the MIT, Calabria and Sicily regional authorities, RFI, ANAS and Stretto di Messina (\u201cSdM\u201d) in April 2026. As required by Law Decree 32 of 11 March 2026 (LD 32\/2026), the agreement was registered with the Court of Auditors on 15 May this year.<\/p>

Under article 1, paragraph 4 of LD 32\/2026, the addenda to the concession arrangement \u2013 with the attached financial plan \u2013 will be signed following a resolution of the Interministerial Committee for Economic Planning and Sustainable Development (CIPESS). Under article 3, paragraph 7 of Law Decree 35\/2023, CIPESS must approve, among other things, the new financial plan for the concession and the preliminary report of the Ministry of Infrastructure and Transport, setting out how the full cost of the project is to be funded.<\/p>

With respect to the estimated total cost of the Project of \u20ac13,532 million, it should be noted that LD 32\/2026 (article 1, paragraphs 8 and 17.a) has confirmed the overall amount of public funding for the Project as \u20ac13,162 million, in addition to the \u20ac370 million resulting from the capital increase subscribed for by the MEF in December 2023. LD 32\/2026 has also amended the provisions in article 1, paragraph 272 of the 2024 Budget Law, rescheduling the funding during the construction phase to align it with the updated financial requirements resulting from the Project\u2019s new construction timeline.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

With specific reference to governance<\/strong>, Law Decree 35\/2023 has established that:<\/p>

  • \u201cStretto di Messina SpA shall be an in-house company pursuant to article 16 of the Consolidated Law on Publicly Owned Companies, as set forth in Legislative Decree 175 of 19 August 2016″, providing that, for the purposes of exercising similar control, special prerogatives and rights are to be assigned in the Articles of Association to the Directors appointed by the Ministry of Economy and Finance, in agreement with the Ministry of Infrastructure and Transport (see below);<\/li>
  • the Ministry of Infrastructure and Transport – via its Delivery Unit for strategic policy, infrastructure development and oversight \u2013 shall oversee the Company’s activities and define appropriate guidelines to ensure that the Ministry exerts a decisive influence over its strategic decision-making and major decisions;<\/li>
  • the Company’s ownership structure shall be enlarged to include the Ministry of the Economy and Finance, to be carried out via an increase in the Company’s share capital, involving the issue of shares reserved for the Ministry. This increase was subscribed for by the Ministry of the Economy and Finance via payment, on 27 December 2023, of \u20ac370 million, raising the MEF\u2019s stake in the Company\u2019s share capital to 55%.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t

    Composition of corporate bodies\n<\/h2>\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t

    With regard to the composition of corporate bodies, Law Decree 35\/2023 provides that:<\/strong><\/p>

    • the Board of Directors must “consist of five members, two of whom to be appointed by the Ministry of the Economy and Finance in agreement with the Ministry of Infrastructure and Transport, respectively, as Chairman and Chief Executive Officer, one member to be appointed by Calabria Regional Authority, one member to be appointed by Sicily Regional Authority, and one member to be appointed jointly by R.F.I. SpA and ANAS SpA\u201d;<\/li>
    • the Board of Statutory Auditors must “consist of five members, including three full members and two alternates. One full member, as Chair of the Board of Statutory Auditors, and one alternate member, are to be appointed by the Ministry of the Economy and Finance in agreement with the Ministry of Infrastructure and Transport; one full member is to be appointed jointly by Calabria Regional Authority and Sicily Regional Authority; and one full member and one alternate member are to be appointed jointly by R.F.I. SpA and ANAS SpA\u201d.<\/li><\/ul>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t
